Under the deal announced Tuesday, Black Rifle will combine with SilverBox Engaged Merger Corp I, which is sponsored by Austin investment manager SilverBox Capital LLC and Newport Beach investment adviser Engaged Capital LLC.

SilverBox Engaged is a special purpose acquisition company , or a shell company set up to raise money and take a private business public. The transaction will be financed with $345 million in cash from the SilverBox SPAC and another $300 million from investors, including $100 million from Engaged Capital.

Black Rifle aims to expand its direct-to-consumer business, drink products, distribution, technology infrastructure, veteran hiring and store footprint. The company had seven locations as of June and is targeting 78 in 2023.

This combination will provide the capital BRCC needs to grow, serve great coffee, and move us closer to our goal of hiring 10,000 veterans as we open more stores nationwide, Hafer said in a statement Tuesday.

The company said its revenue has jumped from $82 million in 2019 to $164 million in 2020 to a projected $230 million this year.

It will reorganize as a public benefit corporation as part of the deal, and Black Rifle and SilverBox Engaged will together donate over 530,000 shares, valued at about $5.3 million, to Black Rifles veteran-focused foundation.

The combined company will be renamed BRC Inc. and the deal is expected to close in the first quarter of 2022.

The founder and CEO of veteran-owned Black Rifle Coffee Company has received copious hate mail, social media backlash and disparaging phone calls in the wake of a New York Times’ article profiling the company, which paints itself as an organization not only serving up a basic cup of joe, but with an extra shot of patriotism delivered by military veterans.

Hafer and his colleagues hoped the article, which ran July 14, would give them the opportunity to distance Black Rifle from right-wing fringe groups and individuals who’ve adopted its merchandise as their own. The piece would be the company’s chance to denounce racism, hatred, bigotry and antisemitism from its brand once and for all, arguing that the vitriol never aligned with the firm’s mission.

That backfired.

Instead, pundits and trolls alike immediately took Black Rifle’s latest message to mean it was shutting out all conservative voices, something Hafer says has been unreasonably conflated.

Step One: Combine 1 cup of water with your spices: 2-3 cinnamon sticks, 10 whole cloves, a few slices of ginger root, half a nutmeg , and 1 vanilla bean . Bring the mixture to a low boil on medium-high heat, and then reduce it to medium-low and add 1 cup of brown sugar, cooking and stirring occasionally until the sugar has dissolved. Take it off the heat, cover it, and let the spices steep for 30 minutes.

Step Two: Using a fine-mesh strainer, strain the spices from the syrup and pour it back into your saucepan. Add ¾ cup of pumpkin puree and continue to cook the syrup on medium-low heat for another 2-3 minutes, until the pumpkin is fully and smoothly incorporated.

Step Three: Pour the syrup into a jar or other sealed container and refrigerate until cool. It should keep well for about a month just give it a good shake before using!
