How The Merger Will Work
Under the deal announced Tuesday, Black Rifle will combine with SilverBox Engaged Merger Corp I, which is sponsored by Austin investment manager SilverBox Capital LLC and Newport Beach investment adviser Engaged Capital LLC.
SilverBox Engaged is a special purpose acquisition company , or a shell company set up to raise money and take a private business public. The transaction will be financed with $345 million in cash from the SilverBox SPAC and another $300 million from investors, including $100 million from Engaged Capital.
Black Rifle aims to expand its direct-to-consumer business, drink products, distribution, technology infrastructure, veteran hiring and store footprint. The company had seven locations as of June and is targeting 78 in 2023.
This combination will provide the capital BRCC needs to grow, serve great coffee, and move us closer to our goal of hiring 10,000 veterans as we open more stores nationwide, Hafer said in a statement Tuesday.
The company said its revenue has jumped from $82 million in 2019 to $164 million in 2020 to a projected $230 million this year.

The combined company will be renamed BRC Inc. and the deal is expected to close in the first quarter of 2022.

Black Rifle Coffee Stock Of Their Customers
The veteran-owned and operated coffee company has decided to focus on a specific set of customers, the hyper-partisan right, and its paid off. This is why theyve quickly grown from only $1million in revenues in 2015.
BRCCs CEO, Evan Hafer, is proud of his military service and welcomes other veterans. Of BRCCs 450 current employees, 55% are military veterans. Most large American brands have historically sought to stay above the partisan divide.
BRCC has intelligently chosen to be the Fox News of the coffee world. Starbucks stated theyd be hiring 10,000 refugees in response to then-President Trumps executive order barring entry.
Hafer boosted his brands image with its base when he said hed be hiring 10,000 veterans. He may still have a long way to go to reach this number, but hes getting there. That could be a plus for Black Rifle coffee stock.
The brand pushes its military, law enforcement, and first responder roots with love for the second amendment, with cool packaging that looks like an old surplus ammo box and coffees with gun-related names like the AK-47 Espresso Blend This will fuel your midnight ops or your morning commute.
Or the Coffee or Die roast, created to show our customers that there are still great companies in America that value freedom and our way of life for all.

Black Rifle Coffee Distances Itself From Extremists Including Some Who Loved Their Brand
Evan Hafer just wants the vitriol to stop.
The founder and CEO of veteran-owned Black Rifle Coffee Company has received copious hate mail, social media backlash and disparaging phone calls in the wake of a New York Times’ article profiling the company, which paints itself as an organization not only serving up a basic cup of joe, but with an extra shot of patriotism delivered by military veterans.
Hafer and his colleagues hoped the article, which ran July 14, would give them the opportunity to distance Black Rifle from right-wing fringe groups and individuals who’ve adopted its merchandise as their own. The piece would be the company’s chance to denounce racism, hatred, bigotry and antisemitism from its brand once and for all, arguing that the vitriol never aligned with the firm’s mission.
Instead, pundits and trolls alike immediately took Black Rifle’s latest message to mean it was shutting out all conservative voices, something Hafer says has been unreasonably conflated.
Now, the seven-year-old organization, which is “pro-constitution, pro-individuality,” is doing what it can to make sure its employees are taken care of since it expects the hostility to ramp up from angry fans and hecklerswho aim to disparage or threaten Black Rifle and its patrons online and even at home.

Just How Good Is A Cup Of Black Rifle Coffee We Investigate
The veteran-owned Black Rifle Coffee Company has built an $80 million business with creative marketing and a -em-if-they-cant-take-a-joke attitude. Theyre becoming a real force in the independent coffee world with 200 employees, and theyve got plans to open as many as 20 coffee shops before the end of 2020.
Viral marketing is fun and selling a sense of community to a veterans has certainly generated a healthy business. But out of the millions of pixels spilled online about the BRCC lifestyle, one big question remains: Hows the damn coffee?
This is the point where all of you who proudly drink the burnt and watery coffee from your local quick mart decide to check out, ignore this article and keep your comments to yourself. No ones judging you. This is American and you can get your caffeine however you like.
In return, those of us who are looking for something more from a cup of joe only want to pursue our dreams and interests without hearing from you. We promise we wont try to convert you, especially since the internet is full of dire predictions about a worldwide coffee shortage and we want to make sure theres plenty left for us.
OK, now that weve shed the swill drinkers, back to the original question.
Granted, some people dont like premium. Premium costs a little more and premium implies an attention to detail that sticks in some peoples craw.
Its just , they say. Why be so stuck up about it?

The fascination with, and romanticization of, Special Operations gave us video games like the later installments in the Call of Duty franchise, movies like Lone Survivor and a sagging shelf of Navy SEAL memoirs. It also gave rise to an entire industry retrofitting operator culture as a lifestyle. Theres Grunt Style, a popular clothing brand founded by a former Army drill sergeant that sells camouflage polyester shorts and T-shirts with a variety of skull- and ammunition-centric designs. Black Rifle Coffee Co Stock Goes Public
The veteran-owned and operated coffee company is going PUBLIC and founder/CEO Evan Hafer understands that HIS brand isnt going to be for everybody.
With big risk comes big reward, right?
Its hard to risk a little and get a lot back
So, its with this in mind that some companies decide that theyve got to go all-in if they want to see their brands succeed.
Going public is the ultimate litmus test to see if your company has what it takes to make it. Either investors are going to get behind you and show you love, or theyre going to ignore you and watch you fade away to the dustbin of history.
Black Rifle Coffee Company founder and CEO Evan Hafer knew this going in. He told Yahoo Finance, There are a group of people that truly love their country and they are passionate about serving their communities, those are my people. I think there are a lot of places in the United States that represent their values and their connections. To be honest with you, I am not really that concerned. I love this country. I am never ashamed to say that. I love the wide variety of people that have served this country in varying capacities. I love connecting with my customers across the country.
He knows his basebut he also knows his ultimate goal, and sometimes, going public has nothing to do with making it big and is instead simply a statement of purpose.

For The Pumpkin Cream:
- Use regular or heavy whipping cream for a thick pumpkin cold foam that will sit on top of your iced coffee and add a luxuriously creamy flavor. I’ve tried using part half-n-half, and I truly feel that it takes away from the overall experience of the cold foam because of its lower fat content. If you want to attempt a dairy-free version of this drink, I’d suggest using well-chilled, canned coconut cream.
Making Pumpkin Spice Syrup
This is the syrup I use to flavor and sweeten the cold foam for this drink, but it can also be used to make a pumpkin spice latte, or any other hot or iced coffee!
Step One: Combine 1 cup of water with your spices: 2-3 cinnamon sticks, 10 whole cloves, a few slices of ginger root, half a nutmeg , and 1 vanilla bean . Bring the mixture to a low boil on medium-high heat, and then reduce it to medium-low and add 1 cup of brown sugar, cooking and stirring occasionally until the sugar has dissolved. Take it off the heat, cover it, and let the spices steep for 30 minutes.
Step Two: Using a fine-mesh strainer, strain the spices from the syrup and pour it back into your saucepan. Add ¾ cup of pumpkin puree and continue to cook the syrup on medium-low heat for another 2-3 minutes, until the pumpkin is fully and smoothly incorporated.
Step Three: Pour the syrup into a jar or other sealed container and refrigerate until cool. It should keep well for about a month just give it a good shake before using!

Challenges Of A Black Rifle Coffee Franchise
Like all other businesses, there will be challenges. Here are a few you can expect when you franchise Black Rifle Coffee Company.
Heavy on the Politics
Politics is one of those topics best left out when youre doing business. It can cause a lot of backlash. But Black Rifle Coffee Company does not shy away from discussing issues and even being vocal about where they stand on politics such as Hafer disclosing he voted for Donald Trump .
So if you decide to franchise this company, expect to receive a lot of comments, whether those are in support of your coffee brands beliefs or not. Make sure your political ideology matches up with this brands position before getting into business with them.
Misuse of Apparel
As mentioned above, the Black Rifle Coffee Company has been linked to one of the people who stormed the capitol in January 2021 because the man had been wearing one of the coffee brands designs. But this isnt the only instance where their apparel was seen in a negative light.
Last year, Kyle Rittenhouse, who was charged with shooting two men in Wisconsin during a protest, was seen wearing a Black Rifle Coffee Company shirt. He captioned it Kyle Rittenhouse drinks the best coffee in America. Along with the post was a discount code to buy the shirt. Evan Hafer has already released his statement that the company does not profit from this tragedy.

A conservative-leaning coffee company is about to go public and its partner’s shares are reacting well
The monumental rise of Digital World Acquisition has taught us one thing anything that former President Donald Trump touches has tremendous potential. When he announced that the Trump Media and Technology Group would be going public through a SPAC merger with DWAC, the stock surged by more than 90%. Today brought the announcement that a similar company is going public via a SPAC merger. SilverBox Engaged Mergers shares have been rising all morning, gaining 30% so far. SBEA stock may be the new DWAC.
Why could this be the case?
Theres plenty to unpack about Black Rifle Coffee, SilverBoxs merger partner, but the most important thing about the company is that it was founded with the mission of appealing to conservative consumers. Looking around its website, youll quickly notice the consistent themes of military, American flags and guns. Some coffee bean bags have camouflage patterns while others express support for Americas police. Company founder Evan Hafer is a military veteran and a supporter of Trump.
Black Rifle has a garnered a significant following in its mission to become the conservative answer to Starbucks , indicating that it has the potential to become a meme stock sensation when it merges with SBEA.

One company that has thrived during the pandemic is Black Rifle Coffee Company . Theyre the operator of a small-batch, premium, roast-to-order coffee company.

They then blend and roast their coffees to be shipped fresh, directly to their customers. However, there is no Black Rifle coffee stock to trade because theyre still a private company until the SPAC deal mentioned above becomes official.
Unlike many coffee outlets, their focus is online, not retail. 70% of their $163 million 2020 revenues from e-commerce sales, merchandise, and a coffee club for regular subscription delivery to the members homes. This has been very popular during COIVD however, it is not BRCCs only differentiating factor.
